Terms of Service

These Terms of Service ("Terms") govern your engagement with and use of the media services provided by Red Outdoor Media, LLC. By entering into a service agreement with us, you agree to these Terms.

1. Scope of Services

Red Outdoor Media, LLC agrees to provide the media services as detailed in the signed Statement of Work (SOW). The SOW will outline specific deliverables, timelines, and responsibilities. Any services outside this scope will require a new or amended SOW.

2. Payment Terms

Fees for services will be invoiced as specified in the SOW, typically on a recurring monthly basis. Invoices are due upon receipt unless otherwise stated. Late payments may result in a suspension of services and/or late fees. All payments for services rendered are non-refundable.

3. Timelines and Deliverables

We will make every reasonable effort to meet the project timelines outlined in the SOW. However, these timelines are estimates and may be subject to change due to unforeseen circumstances or delays in receiving necessary assets or feedback from the Client. The Client agrees to provide timely feedback and approvals to facilitate the project's progress.

4. Client Responsibilities

The Client is responsible for providing all necessary access to digital platforms, brand assets, and other information required for Red Outdoor Media, LLC to perform the services. The Client warrants that they have the legal right to use all materials provided to us and will indemnify Red Outdoor Media, LLC against any claims arising from their use.

5. Confidentiality

Both parties agree to treat all information shared during the engagement as confidential. This includes, but is not limited to, business strategies, customer data, and campaign performance metrics. This obligation extends beyond the termination of the service agreement.

6. Legal Disclaimers and Limitation of Liability

Red Outdoor Media, LLC does not guarantee specific business outcomes, such as increases in revenue, profit, or search engine rankings. Our services are designed to improve key performance indicators, but final results depend on various external factors. To the fullest extent permitted by law, Red Outdoor Media, LLC shall not be liable for any indirect, incidental, or consequential damages resulting from the use of our services.

7. Term and Termination

The service agreement will remain in effect for the term specified in the SOW. Either party may terminate the agreement with 30 days' written notice. Upon termination, the Client is obligated to pay for all services rendered up to the effective termination date.

8. Governing Law

These Terms shall be governed by the laws of the jurisdiction where Red Outdoor Media, LLC is registered. Any disputes arising from this agreement will be resolved in the courts of said jurisdiction.
